1. General Acceptance and Scope of Agreement

1.1. Introduction: Welcome to Kids Vintage Company Wholesale/Reseller Terms and Conditions ("Terms"). These Terms govern all orders placed by you for wholesale/reseller goods ("Reseller Bundle" or "Goods") from kidsvintagecompany.com ("Website"). These Terms, along with the information provided on our Shipping & Returns page (which forms part of this contract), represent the entire agreement between you and us for the sale of the Goods.

1.2. Legal Nature of Transaction (B2B): By placing an order for Reseller Bundle/Boxes, you affirm and warrant that you are purchasing the Goods wholly or mainly for the purposes of your trade, craft, business, or profession (i.e., you are a business customer, which may include a sole trader, partnership, or limited company, trading on platforms such as eBay or Depop). This transaction is strictly Business-to-Business (B2B).

1.3. Exclusion of Consumer Law: Consumer protection legislation, including the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (which replaced the former Distance Selling Regulations) and the Consumer Rights Act 2015, does not apply to this B2B contract. You will not have the statutory rights afforded to individual consumers, such as a right to a 14-day "cooling-off" cancellation period or automatic rights of return for simply changing your mind.

1.4. Contract Formation: Your order constitutes an offer to purchase the Goods under these Terms. A formal and legally binding contract is only formed when we expressly accept your order by sending you an Order Confirmation email. Until acceptance is confirmed, no contract exists.

1.5. Changes to Terms: We may update these Terms from time to time. The Terms in effect at the time you place your order are the ones that will apply to that specific order. Once an order is confirmed, the applicable Terms cannot be changed.

3. Product Description and Quality of Goods

3.1. Nature of Goods: All Goods in Reseller Boxes are items of used (vintage/pre-owned) clothing. The Reseller Bundle/Boxes are marked clearly on the product page as "RESELLER BUNDLES" and are designed for you to re-sell for profit, not for personal use.

3.2. Condition and Expected Wear: Due to the vintage and used nature of the Goods, you acknowledge and accept that they will show signs of previous life, including: * General wear and tear. * The possible presence of minor imperfections such as small holes, rips, stains, or marks. By placing an order, you accept the inherent condition of the vintage Goods.

3.3. Implied Terms (Sale of Goods Act 1979): The following terms are legally implied into this B2B contract by the Sale of Goods Act 1979, unless explicitly varied in these Terms: * Right to Sell: We have the right to sell the Goods. * Goods Must Match Description: The Goods must correspond with the description provided on the product page and in these Terms. * Satisfactory Quality and Fitness for Purpose: The Goods must be of satisfactory quality and fit for the purpose for which goods of that kind are commonly supplied.

3.4. Variation of Implied Terms (Satisfactory Quality): Due to the resale nature of the bundles, you acknowledge that the standard of "satisfactory quality" for these vintage Goods is lower than for new goods, as the expected use is resale after sorting and preparation, and the Goods are explicitly described as having wear and tear (Clause 3.2). We warrant that the Goods will be fit for their intended purpose as items for commercial resale.

3.5. Sizing and Content: * Unless a specific size range is stated or selected, all wholesale bundles are mixed-size, typically ranging from XXS adult to 5XL. * Where a "preferred size" is selected, we will endeavour to adhere to it, but you agree that up to 50% of the box content may be comprised of other sizes.

4. Pricing, Payment, and International Orders

4.1. Price and Payment: The price of the Goods is as displayed on the Website at the time of your order. You must pay the full price for the Goods before dispatch.

4.2. Import Duties and Taxes: You are solely responsible for checking and settling any applicable customs duties, taxes, fees, or clearance charges that may be due at the border or upon import into your country.

4.3. Consequences of Non-Payment of Duties: Failure to settle these charges with the relevant customs authority or shipping carrier may result in the goods being delayed, returned to us, or seized. * If the Goods are returned to us, any refund issued will be for the original purchase price minus any additional costs incurred by us (including return shipping, customs penalties, and any redelivery charges), in addition to an administration charge of [Insert Administration Charge Amount/Percentage].

5. Returns, Cancellations, and Limitation of Liability

5.1. Returns Policy (B2B Final Sale): As this is a B2B transaction, all sales of Reseller Bundles are final, and no returns or exchanges of any kind are offered or accepted, unless the Goods are materially defective or not as described to an extent that breaches the provisions of the Sale of Goods Act 1979, as varied by this agreement (Clause 3.4).

5.2. Your Responsibility to Review: You are responsible for accurately reading and digesting the full product description prior to purchase, including the "condition" tab in the product description section.

5.3. Limitation of Liability: Our total aggregate liability to you for any loss or damage arising under this contract shall be limited to the total value of the Reseller Box order to which the claim relates. This limitation does not exclude or restrict liability for death or personal injury caused by our negligence, or any liability for fraud or fraudulent misrepresentation. You are responsible for ensuring your own insurance coverage is adequate for any risks or losses incurred beyond our stated liability limit.

6. Governing Law and Jurisdiction

6.1. Governing Law: This contract, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the law of England and Wales.

6.2. Jurisdiction: Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this contract or its subject matter or formation (including non-contractual disputes or claims).
